The name of the Club shall be “The Fox Terrier Club Of Scotland”. The headquarters shall be the address of the Honorary Secretary for the time being, at which address all monies are due.
The objects of the Club shall be to promote and to encourage the general improvement of Fox Terriers, to support Fox Terrier Clubs by awarding prizes in cash or kind, to guarantee Fox Terrier classes at shows, and generally to do all in its power to protect and advance the interest of the Breed.
The question of giving prizes of cups and guaranteeing classes at shows shall be decided by the Committee, or Sub Committee, appointed for that purpose who shall stipulate that the show be held under the Rules of Licence of The Kennel Club and shall satisfy themselves as to the classes and prizes as well as the efficiency of the Judge. Competition for these prizes or cups shall be restricted to dogs which are registered at the Kennel Club.
The business and affairs of the club shall be managed by a Committee, which may regulate the conduct of its business in such a manner as it thinks fit and in particular may appoint Sub Committees consisting of such persons as it thinks fit (who do not need to be members of the Committee) to deal with such matters as it may delegate to them.
The Committee shall have power to make such By-Laws and Regulations not inconsistent with the terms of the Constitution and Rules as it may, from time to time, deem necessary.
It shall be at the sole discretion of the Committee to invest any surplus income or funds of the Club, or disburse same in whatever manner it decides. Meetings of the Committee shall be held as deemed necessary. Such meeting to be convened by the Honorary Secretary by not less than 7 days clear notice.
The Committee shall consist of not more than 15 elected members; President, Vice President, Honorary Secretary, Honorary Treasurer – the latter offices may be conjoined, who shall be ex-officio members of the committee. Four members present, including the officers, shall constitute a quorum and the Chairman shall in the equality of the vote, have a casting vote. Members of the committee and ex-officio members shall retire annually but be eligible for re-election at the Annual General Meeting.
The committee shall have the power to fill any casual vacancy in its number, but the numbers co-opted under this rule shall only hold office until the following Annual General Meeting when he/she shall retire but be eligible for re-election.
If ant member of the committee shall have been absent from 3 consecutive meetings of the committee without having submitted a satisfactory explanation, it shall strike his/her name off the list of members of the committee and fill the vacancy.
The committee, or sub committee, shall place in the hands of the Honorary Secretary, and shall from time to time revise, a list of such Judges as it approves.
Honorary Members of the club shall be elected from persons known in the United Kingdom or Officials of Fox Terrier Clubs in any part of the world. The committee alone shall have the power to decide whether any candidate for admission of Honorary Member is qualified and, upon the decision of a majority of the committee that such a candidate is qualified, he/she shall be declared as an Honorary Member.
The club shall consist of an unlimited number of ordinary members and such Honorary Members as may be elected whose names shall be entered in a register to be kept by the Honorary Secretary. Junior membership without voting rights shall be available up to 16 years of age.
Applicants for membership of the club shall be proposed by 1 fully paid up member and seconded by another and shall be elected by the committee. No members shall be entitled to be present or take part in any proceedings or vote at any General Meeting, whether on a show of hands or ballot, or to nominate or be nominated as a candidate for election to the committee, or if nominated to be elected, or if elected to take office as a member of the committee if and while he/she
is due the club any subscriptions
is due the club any other debt which has remained due for a period of more than 3 months after the same became payable
is bankrupt or insolvent
No member shall vote with regard to any matter which he/she has a financial interest and shall be under an obligation to declare any such interest which he/she may have. In the case of a husband and wife, 2 members of the same family or 2 bona fide partners who are joint members, each shall be entitled to vote independently of each other.
The Society must make a list of members and their addresses available for inspection if so requested by members of the society or Kennel Club.
The annual subscriptions shall be as agreed by members in General Meeting and notified to the Kennel Club.
No member whose subscription is unpaid is entitled to any privileges of membership and if the member shall fail to pay outstanding subscription by 31 March his/her name shall be automatically erased from the register. Acceptance back on the register will be dependant on a new application for membership and payment of back arrears.
Any member who shall be suspended under Kennel Club Rule A42j(4) and/or disqualified under Kennel Club Rule A42j(8), shall ipso factor cease to be a member of the society for the duration of the suspension and/or disqualification. If the conduct of a member shall, in the opinion of the society, be injurious or likely to be injurious to the character or interests of the society, the committee of the society may at a meeting, the notice convening the meeting including as an object the consideration of the conduct of the member, determine that a Special General Meeting shall be called for the purpose of passing a resolution to expel him/her. Notice of the Special General Meeting shall be sent to the accused member, giving particulars of the complaint and advising the place, date, and hour of the meeting, that he/she may attend and offer an explanation. If at the meeting, a resolution to expel is passed by a 2/3 majority of the members present and voting, his/her name shall forthwith be erased from the list of members and he/she shall thereupon cease for all purposes to be a member of the society except that he/she may, within 2 calendar months from the date of such a meeting, appeal to the Kennel Club upon and subject to such conditions as the Kennel Club may impose.
The minutes of the last preceding meeting of the Association shall be read at the commencement of, and approved and confirmed by, the next subsequent similar meeting. Every question to be decided at a meeting of the Association shall be decided by the majority of those present and voting by a show of hands or secret ballot, but in the case of an equal division of votes, the Chairman shall have a second or casting vote. Notice of the meeting shall be sent by post to each member at least 28 days previous to the date fixed for such meting to take place, and with the notice shall be sent a list of business to be transacted.
If any member wishes an item to be included in the agenda, they must forward said item to the Secretary 14 days prior to the meting. Furthermore, if any member shall desire to bring forward any business other than that on the agenda, they shall first ask leave of the meting to do so, but o alteration to the rules of the association shall be made except at a General meeting and 14 clear days notice in writing of any proposed alteration or addition shall be given to the Honorary Secretary, such notice to be signed by the proposer and seconder. At any Special General Meeting of the club, of which not less than 14 days notice shall be given to the members in addition to the Annual General Meeting, hereinafter provided for, may be held as occasion shall require for the transaction of business. A meeting shall be specifically convened by the Honorary Secretary on receipt of a written requisition signed by not less than 20 members stating the object of the meeting, to be lodged with the Secretary at least 21 days previous to the date fixed for such a meting to take place.
A separate banking account shall be opened in the name of the club. All expenses incurred by the Honorary Secretary and Honorary Treasurer for or on behalf of the club shall be defrayed out of the funds of the club on the signature of 2 officers one of whom must be the Honorary Secretary or Honorary Treasurer.
An Annual Report, containing the rules, names of members of the committee, and the Honorary Secretary and Treasurer, and the annual statement of accounts duly audited for 1 January to 31 December in each year, shall be printed and supplied to each member.
*The Honorary Secretary or Treasurer shall maintain the accounts and an auditor shall be appointed at each A.G.M. for the purpose of certifying the club accounts for the year. The auditor must be a qualified accountant or two individuals with accountancy experience and must be independent from those who prepare the accounts.
A copy of the annual statement of accounts for the last financial year which must be certified in accordance with the rules of the society must be sent to all members of the society, or provision made in the rules of the society for a copy of the annual statement of accounts to be made available on request to members 14 days prior to the AGM. Additionally, the annual statement of accounts will be available for inspection by member at the AGM.*
The property of the club shall be vested in the committee. In the event of the club ceasing to exist, a General Meeting shall be called to decide the dispersal of the clubs assets, providing 2/3 of the member’s present vote in favour. The outcome of the meeting shall be notified to the Kennel Club.
A copy of the rules of the club shall be transmitted to members on election and shall henceforth become binding upon every member of the club and members shall not be absolved from the effect of those rules on any allegation of not having received them. All notices sent to members last known address shall be considered duly delivered. Each member shall communicate to the Secretary any change of address.
The officers acknowledge that during the month of January each year, Maintenance of Title Fee will be forwarded to the Kennel Club by the Secretary for continuance of registration, and that by 31 July each year other returns as stipulated by Kennel Club regulations for the registration and maintenance of title of registered societies, branches of registered societies, and breed councils and the affiliation of agricultural societies and municipal authorities, be forwarded to the Kennel Club. The officers will also acknowledge their duty to inform the Kennel Club of any changes of secretary of the society which may occur during the course of the year.
The Kennel Club shall be the final Court of Appeal in interpreting the Constitution and Rules of the club in all matters of dispute and in all cases relative to club matters.
The club shall not join any Federation of Societies or Clubs.
